MCR is not offered or sold to any person in any jurisdiction in which such offer or sale would be unlawful. In particular, MCR is not offered or sold to any of the following Restricted Persons:
  • Persons located in, resident in, or a national of the United States of America (including its territories and possessions)
  • Persons located in, resident in, or a national of Australia
  • Persons located in, resident in, or a national of Singapore
  • Persons located in, resident in, or a national of any jurisdiction subject to comprehensive sanctions administered by the United Nations, the United States (OFAC), the European Union, or the United Kingdom, including, at the date of publication, Iran, North Korea, Syria, Cuba, and the Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions of Ukraine
  • Persons or entities that are otherwise sanctioned parties on any sanctions list applicable to Monochrome
  • Persons acting on behalf of any Restricted Person
  • Persons who cannot lawfully hold, transact in, or receive MCR under the laws of their jurisdiction of residence, nationality, or presence
Restricted Persons will not be admitted to the MCR sale, will not be onboarded to Monochrome Exchange, and will not be permitted to participate in Digital IPOs. Monochrome enforces these restrictions through geographic access controls, participant self-certification, KYC/AML onboarding, and ongoing sanctions screening. By subscribing to any MCR offering, each participant confirms that they are not a Restricted Person. Prospective participants in jurisdictions not listed above should nonetheless satisfy themselves independently that acquiring and holding MCR is lawful under the laws applicable to them.
